These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("Customer", "Client", or "User") and Design Suvidha (MSME Registration No: UDYAM-RJ-17-0675057) ("Company", "Design Suvidha", "We", "Us", or "Our"). By accessing our website, purchasing our Printing Services, or engaging our Digital Marketing Services, you agree to be bound by these terms.
1. Scope of Services
Design Suvidha operates as a dual-service enterprise providing comprehensive solution sets for business growth:
- Printing & Graphic Design Division: Manufacture of custom business cards, pamphlets, banners, stickers, office stationery, doctor files, packaging tags, corporate gifting products (personalised mugs, laser engraved pens, metal card holders, executive diaries, keychains, drinkware), and digital/offset press collaterals.
- Digital Marketing Division: Meta Ads (Facebook & Instagram Advertising), Google Ads (PPC), Search Engine Optimization (SEO), Social Media Management (SMM), Lead Generation, Web Development, and Performance Marketing services.
⚠️ RESTRICTED PRINTING & ADVERTISING POLICY:
Design Suvidha strictly prohibits the printing or digital promotion of Government Identification Cards (such as Aadhaar Cards, PAN Cards, Voter IDs, Driving Licenses), counterfeit documents, fake certificates, unauthorized duplicate credentials, currency notes, or unlawful/misleading ad campaigns.
For corporate artwork, brand assets, or digital ad management, Design Suvidha reserves the unilateral right to request an official Authorisation Letter and ownership proof. Fraudulent submissions will result in immediate service termination without refund and reporting to law enforcement under Indian Law.
2. Terms Specific to Printing Services
🔴 MANDATORY DIGITAL PROOF APPROVAL & ZERO LIABILITY CLAUSE:
- Proof Inspection Responsibility: Prior to printing, the Client must thoroughly inspect and verify all digital proofs, spelling, grammar, dimensions, color setup, and artwork alignment.
- Zero Liability Post-Approval: Once the Client approves the digital proof, Design Suvidha holds ZERO liability or financial responsibility for any errors discovered post-printing. No refunds, free reprints, or compensation will be provided for client-approved mistakes.
Dynamic Courier & Delivery Charges: Delivery and shipping charges are calculated dynamically by third-party courier partners based on total parcel weight, volume, and destination distance. Charges may vary (increase or decrease) accordingly and must be borne by the Client.
3. Terms Specific to Digital Marketing Services
- Client Account Access & Asset Submissions: The Client agrees to grant Design Suvidha necessary administrative or partner access to Ad Accounts (Meta Business Manager, Google Ads, Google Business Profile), Social Media Pages, Website CMS/FTP, and brand collateral required for campaign management.
- Ad Spend & Management Fees: Agency management/service fees paid to Design Suvidha are strictly separate from Ad Spend. Media budget/Ad spend is paid directly to advertising platforms (Meta, Google, etc.) by the Client or remitted to Design Suvidha in advance.
- Advertising Platform Compliance: The Client guarantees that their products/services comply with Meta Advertising Policies, Google Ads Policies, and applicable Indian laws. Account suspensions or ad rejections caused by client policy violations are not the liability of Design Suvidha.
📊 NO GUARANTEE OF SPECIFIC BUSINESS RESULTS / ROI DISCLAIMER:
Digital marketing performance (clicks, leads, conversions, sales, cost-per-lead, and ROI) depends on external market forces, product demand, client pricing, landing page performance, and platform algorithm changes. While Design Suvidha employs industry best practices, we do NOT guarantee specific revenue, sales volume, lead numbers, or fixed return on investment (ROI). Management fees remain non-refundable regardless of campaign commercial outcomes.
4. Technical Glitches & Service Delay Disclaimer
Service timelines provided by Design Suvidha are estimates. Delays may occur due to technical press maintenance, mechanical failure, raw material shortages, ad platform API outages, account reviews, server downtime, or courier delays. Design Suvidha shall not be liable for any indirect, commercial, or consequential losses resulting from technical or operational delays.
5. Payments & Billing Terms
All payments for printing orders, digital marketing retainers, or ad spend funding must be remitted exclusively to official Design Suvidha bank accounts or verified UPI channels. Design Suvidha disclaims all liability for payments made to unverified personal accounts.
6. Intellectual Property & Indemnification
Clients retain ownership of their logos, brand identity, and proprietary materials. Clients grant Design Suvidha a license to utilize artwork and marketing assets for printing and ad campaigns. Clients agree to fully indemnify Design Suvidha against any third-party copyright, trademark, or advertising claims.
7. Governing Law & Jurisdiction
This Agreement is governed by the laws of India. Any legal disputes or claims shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
